General terms and conditions (English version)

1. GENERAL
The following terms and conditions are applicable between the person ("Member") who is named in the agreement ("Membership Agreement") and SATS. These terms and conditions are an integral part of the Membership Agreement. In addition to the Membership Agreement, the member is also be bound by special terms and conditions that may, at any time, apply to other services and offers. These terms and conditions are available on our website.
2. SATS MEMBERSHIP
2.1. A SATS membership may be used by people over the age of 18, who:
2.1.1. Are in general good health and, in the opinion of SATS, have no obvious risk to the person's health and/or risk of injury.
2.1.2. Does not have any outstanding debt related to a previous SATS membership.
2.1.3. Has not previously been banned from one or several SATS centers.
2.1.4. Has not behaved in a reprehensible manner in connection with a previous SATS membership.
2.2. People under the age of 18 may use a SATS membership with the agreement of their parent/guardian. The parent/guardian will be legally responsible for the membership and will be liable for all payments associated with the membership.
2.3. The membership card in SATS is digital and to get access to SATS centers, the member will have to download the SATS-app and use the QR code belonging to their own personal membership to be able to scan in. The digital membership card cannot be used by any other than the member himself.
2.4. A photo of the Member will be taken at time of enrolment.
2.5. The membership is valid from the date specified in the Membership Agreement.
2.6. The membership in SATS is an ongoing agreement, irrespective of the binding period. At the end of the binding period, the membership will continue until terminated according to clause 7.
2.7. The membership is personal and cannot be transferred or used by anyone other than the Member.
2.8. The membership entitles the Member to access any SATS center specified in the Membership Agreement. The Member is also entitled to take advantage of all available offers according to the current terms and conditions.
2.9. SATS’ at any time applicable memberships, concepts and additional services with associated descriptions and rates appear on our website.
2.10. Upgrading of memberships: Members can upgrade their memberships at any time to gain access to multiple centers, concepts and additional services in accordance with SATS' available offers. Upgrades are effective immediately.
2.11. Downgrading of memberships: Members can downgrade their memberships at any time to access fewer centers, concepts or additional services. Downgrades take effect at the end of the month in which the Member downgraded their membership plus one month.
2.12. In the event of SATS changing the membership structure, Members with memberships that SATS no longer offers will be transferred to the SATS membership structure available at that time. Changes in membership structure will be notified in accordance with clause 7.6.
2.13. SATS cannot always guarantee that there will be spots available at fitness classes etc., in which the number of participants or access is limited.
2.14. As far as possible, SATS will adapt offers and opening hours at in line with member preferences and behavior. Centers can sometimes be closed or open with reduced services in connection with public holidays, maintenance work or Force Majeure (see clause 9.1).
2.15. CCTV cameras are installed at SATS´ fitness centers.
2.16. Discounts
2.16.1. Students
Students are offered the discount rate available when they create their membership. The student discount is subject to the presentation of a valid Student ID at the time of registration and thereafter once a year. When the terms and conditions for the student discount are no longer met, the monthly membership fee will be increased to the current price of the specific membership type. The membership will then continue until the Member gives notice of termination according to clause 7.
2.16.2. Company
2.16.2.1. Standard company agreement
Members who are registered with a standard company agreement are entitled to the discount according to a special agreement between SATS and the company in question as long as the Member is employed at the company. The Member accepts to notify SATS if the Member's employment is terminated. If the standard company agreement terms and conditions no longer apply, the monthly membership fee will increase to the current price of the membership type in question. The membership will then continue until the Member actively uses their right of termination according to clause 7.
2.16.2.2. Secondary company agreement
Members who are registered with a secondary company agreement may be entitled to a discount according to a special agreement between SATS and the company in question as long as the Member is employed by the company. The company accepts to notify SATS if the Member's employment is terminated. After receiving notice, SATS accepts to inform the Member in writing within one (1) month at the latest that the conditions for the secondary company agreement are no longer met, after which the Member will become the new recipient of the invoice for the monthly membership fee. At the same time, the membership fee will increase to the current price of the membership type in question. The membership will then continue until the Member actively uses their right of termination according to clause 7.
2.16.3. Senior citizens
People aged 65 or above will be offered the current discount rate when registering for a membership.
2.16.4. Membership for people under the age of 18.
2.16.4.1.People aged 11-14
People aged 11 to 14 will be offered the discount rate applicable on the date on which they register for a membership. From the age of 15, the monthly membership fee will increase according to the terms and conditions that apply to members aged 15-17 cf. clause 2.16.4.2.
2.16.4.2. People aged 15-17
People aged 15 to 17 will be offered the discount rate applicable on the date on which they register for a membership. From the age of 18, the monthly membership fee will increase to the current price of the membership type in question. The Membership will then continue until the Member actively makes use of their right of termination according to clause 7.
2.17 SATS Rewards
As a member of SATS, you are automatically part of our benefits program, SATS Rewards. A description of the program and its content is always available on our website. Changes thereto will take place in accordance with clause 7.6.
3. PAYMENT OF MEMBERSHIP
3.1. The Member shall pay a monthly price, a registration fee and any other fees according to SATS´ applicable prices. The same applies to parents/guardians or others who, in the Membership Agreement, have legally accepted liability for the membership. In the event of price increases, these are notified in advance in accordance with clause 7.
3.2. The monthly price is payable at the time agreed on an ongoing basis, except upon registration, where special terms and conditions apply. The Member is responsible for ensuring that membership is paid on time and must contact SATS if a payment request is not received.
3.3. When using an automatic payment service, the Member is responsible for setting up the necessary agreement with their bank for the automatic payment of the monthly membership price to SATS. The Member may set up this agreement via their membership profile on our website. The member must always ensure that the specified amount limit covers the invoice amount, and that the payment takes place by the due date.
3.4. If the member does not pay by the due date, regardless of the payment method, a notice of debt collection, with a new due date, will be issued. In the event of late payment, SATS may claim costs and interest according to the Danish Debt Collection Act, the Danish Interest Act and other applicable legislation.
3.5. If the Member does not pay and receives a payment reminder, a notice of debt collection or debt collection claim from an external debt collection agency, the payment details on the invoice from the external debt collection agency shall be used when paying.
3.6. During the binding period, the Member is granted a price guarantee for their monthly membership fee. SATS cannot change the membership fee until after the expiry of the binding period unless the Member wishes to change their current membership. In cases where the Member has a special discount agreement with SATS and the discount stops during the binding period, SATS is entitled to increase the monthly membership price to the current price of the membership type in question.
3.7. The Member shall not pay a monthly membership price if:
3.7.1. The membership is frozen according to clause 6.
3.7.2. SATS has terminated the Membership Agreement with immediate effect according to clause 7.7.
3.7.3. If the fitness center the Member usually uses is not available and if, in the opinion of SATS, no other fitness center is available within a suitable distance.
4. MEMBER OBLIGATIONS
4.1. The Member undertakes to:
4.1.1. Familiarize themselves with the current SATS Safety Rules and Code of Conduct (general) and other Safety Rules and Codes of Conduct (child care), which are available on our website.
4.1.2. Not use any drugs or performance-enhancing substances in accordance with Antidoping Denmark´s current guidelines for fitness centers. The use of doping substances is against the law, and any such use can be reported to the police. SATS is entitled to perform random drug tests in collaboration with Antidoping Denmark. Members who are present in a SATS center during such tests, shall agree to be tested if requested, under the supervision of Anti-Doping Denmark. The drug test will be performed according to the procedure described in a separate document that will be made available to the Member.
4.1.3. Notify SATS of any changes to contact details/payment information, including change of name, address, e-mail address, phone number, account number and any other relevant information. Such notification is to be given without undue delay.
4.1.4. Inform SATS of any circumstances which mean that the Member is no longer entitled to the current discount scheme. Notification must be given without undue delay.
4.1.5. Check in upon arrival, before the Member makes use of a SATS center. The check-in takes place via a QR code in the SATS App, alternatively by using a physical membership card should the Member not have a smart phone. SATS may request the Member to present an ID.
4.2. SATS shall be notified of any losses of membership cards as soon as possible. SATS will then block the card and issue a new membership card. When issued with a new membership card, the Member undertakes to pay a card replacement fee at the current rate.
4.3. The Member is responsible for keeping the membership card safe in such a manner that it is not misused by others. SATS is to be notified of any suspected misuse as soon as possible.
4.4. The Member is given access to SATS´ digital services via their personal profile. The Member must not give other people or legal entities access to these services by sharing login details, etc.
5. DATA PROTECTION AND COMMUNICATION
5.1. SATS will process personal data about the Member in connection with the membership. Information about how SATS process personal data about the Member and the Member's data protection rights, is included in our privacy policy.
5.2. For sending general information about the membership, we will primarily use the email or postal address that the Member has provided to us.
6. MEMBERSHIP FREEZE
6.1. The Member can apply to freeze their SATS membership. “Freeze” means a pause of the membership for a time-limited period.
6.2. The terms and conditions for membership freeze can be found on our website at all times.
6.3. Your membership can be frozen on our website or by personal application at the fitness center.
6.4. In cases where a binding period applies to the membership, the binding period will also be paused for the number of days that the membership is frozen. When the membership is resumed, the remaining binding period will also be resumed.
6.5. SATS will not collect a membership payment from the Member during the period when the membership is frozen according to clause 3.7.1. The payment-free period and the period when the membership is frozen will not necessarily coincide for invoicing reasons.
6.6. At the end of the period during which the membership is frozen, the membership shall continue with the terms and conditions in the Membership Agreement. If the Member terminates the membership during the freeze period, the rest of the month + one (1) month notice period will apply after the termination of the freeze period.
6.7. If it is necessary to freeze the membership repeatedly, the Member must apply for a new freeze period by contacting the staff in the fitness center in person. In the event of an extension of the freeze period, the request must take place before the end of the freeze period.
6.8. In confirming a membership freeze, SATS may require the Member to pay a reasonable administration fee according to SATS´ current prices.
7. RIGHT OF WITHDRAWAL FOR PURCHASE OF MEMBERSHIPS AND SERVICES
7.1. The Member has the right to terminate the agreement (right of withdrawal) by notifying SATS within two (2) weeks after entering into the agreement, in accordance with the rules on the right of withdrawal. The Member may exercise the right of withdrawal by using the withdrawal form received at the time of purchase or by using the contact form on our website.
The Member consents to and acknowledges that he or she is responsible for reasonable costs if the Member has requested the commencement of the service and uses the right of withdrawal. The right of withdrawal ceases if the Member uses the service before the expiry of the withdrawal period and the agreement has been fulfilled by SATS.
Any payment made will be refunded upon exercise of the right of withdrawal. The Member must be able to document that the withdrawal period has been exercised in accordance with applicable legislation at all times.
7.2. In the event of termination of the membership the notice period is the current month + one month. If the membership is created with a binding period, the membership will run until the end of the binding period. After the end of the binding period, the membership will become an ongoing contract according to clause 2.6.
7.2.1. In the event of a downgrade/termination of additional services, the downgrade/termination notice period is the current month + one month according to clause 2.11.
7.3. When terminating a membership, you can either use the contact form on our website sats.dk, by sending an e-mail to Member Care (medlemsservice@sats.com), submit notice online via "My page" or send a letter. Alternatively, the Member or the parent/guardian can appear in person at a SATS-club, where an employee will guide them to termination via the options mentioned above. SATS will confirm within two (2) weeks after receiving such notice, by e-mail or letter, that the termination has been registered. The Member must be able to document the termination.
7.4. In certain cases, the member can apply to terminate the membership within the binding period. In this case, the Member must be able to document that special unforeseen circumstances have arisen that were beyond their control. In addition, such special circumstances must be the reason why the Member is prevented from using their membership. An application for termination must be in writing and be submitted to SATS without unreasoned stay in SATS after the circumstances have arisen. SATS will process the application within a reasonable time and no later than within three (3) weeks after receipt.
7.5. If SATS and the Member together agree that exercise involves a significant risk of worsening the Member's health, the Membership Agreement may be terminated. SATS may require a written statement from a healthcare professional to confirm that it is safe to let the Member exercise at SATS. Upon termination, the Member will be refunded any pre-paid part of the membership fee.
7.6. SATS reserves the right to amend the Membership Agreement, including the general and special terms and conditions, prices, and fees. SATS also reserves the right to amend the membership structure, services, and products. Such amendments may occur in the situations indicated in the following sections 7.6.1-7.6.7.
7.6.1 SATS reserves the right to adjust the membership fee for ongoing agreements on an annual basis, according to increases/decreases in the Consumer Price Index, without prior notice. The price adjustment is calculated based on the development in the Consumer Price Index for the most recently published, 12 months prior to the price adjustment.
7.6.2 Upon expiration of any discount period or discount agreement associated with the membership.
7.6.3 SATS is making major investments to improve the Members' experience, which, among other things, may include the hiring of more staff, updating, replacing and/or modernizing facilities.
7.6.4 As a result of increased costs associated with operational and security matters or external costs related to SATS' provision of services to the Member, such as costs to suppliers or meeting inflation.
7.6.5 As a result of changes to tax, levy, and VAT legislation.
7.6.6 To ensure that SATS complies with the legislation in force at any time, compliance with recommendations, requirements, or orders from authorities, Antidoping Denmark or similar.
7.6.7 SATS may introduce new fees or change fees covered by the Membership Agreement on an ongoing basis. Such fees may, for example, be introduced or regulated because of increased costs for SATS to handle member inquiries and payments, lost membership cards or other equipment, or because of changes to SATS' business procedures.
7.6.8 The level of any price increases will be determined proportionately based on SATS' increased costs.
7.6.9 Changes will be announced in good time via SATS' digital channels. If there are significant changes for the Member, the Member will be notified directly at least 45 days before the change takes effect. The Member always has the option to terminate the membership in accordance with clause 7.2. Changes to prices, fees and membership types are always considered significant changes.
7.7. SATS is entitled to block the membership for a certain period of time, or terminate the Membership Agreement with immediate effect, if the Member is in breach of the Membership Agreement. A breach includes, among other things:
7.7.1. Failure to pay the monthly membership fee and other fees, despite a debt collection notice or other form of reminder.
7.7.2. Breaches of the Member's obligations in accordance with Chapter 4, the Member's failure to respond to a written or verbal warning from SATS.
7.7.3. Breaches of the anti-doping provisions set out in clause 4.1.2, including failure to submit a drug test on request.
8. PERSONAL INJURY, STORAGE AND LIABILITY IN THE EVENT OF THEFT
8.1. Exercise is always at the Member's own risk. SATS is not liable for any personal injury the Member may suffer in connection with the presence/exercise at a SATS center. A corresponding limitation of liability applies to other exercise offerings under the auspices of SATS.
8.2. When storing personal belongings in lockers located in a SATS center, the Member shall use their own padlock. If the Member leaves belongings in a locker located in a SATS center after normal opening hours, SATS is entitled to break the Member´s padlock and store the belongings. The Member is required to pick up forgotten belongings within two weeks. SATS accepts no liability for the loss of such personal belongings, nor during the period named.
8.3. SATS is not liable for the theft or other loss of the Member's personal belongings that the Member brings to a SATS center. This shall apply regardless of whether the belongings are locked in a standard locker, a safe or similar.
9. LIMITATION OF LIABILITY, GOVERNING LAW, DISPUTE AND JURISDICTION
9.1. SATS is not liable for obstacles or limitations which reduce SATS' exercise offerings to the Member when the circumstances are beyond SATS' control, and SATS is not able to foresee or overcome the consequences of the circumstances, such as war, riots, strikes, epidemics, pandemics, embargoes, orders, or recommendations of the authorities that SATS is either required or chooses to follow, etc. (Force Majeure). The Member cannot therefore cancel the membership during the period in question, but the Member may terminate the membership in the usual manner.
9.2. The Membership Agreement is subject to Danish law.
9.3. Disputes between the Member and SATS shall be resolved peacefully. If this is not possible, either Party may bring the dispute before the ordinary courts.
9.4. The Member may also submit a complaint to the Danish Mediation Team for Consumer Complaints and the Danish Consumer Complaints Board at Nævnenes Hus, Toldboden 2, 8800 Viborge at www.naevneneshus.dk.
9.5 In the event of conflict between the English and the Danish versions of the Membership Agreement, the latter has highest rank.
